PT United Tractors Tbk (UT) officially took over control of the gold mine owned by PT J Resources Nusantara (JRN) through the completion of the sale transaction of all JRN shares in PT Arafura Surya Alam.
Jakarta, MINE – PT United Tractors Tbk (UT) officially took over control of the gold mine owned by PT J Resources Nusantara (JRN) through the completion of the sale transaction of all JRN shares in PT Arafura Surya Alam.
“Completion of the sale transaction of all shares owned by PT J Resources Nusantara (‘JRN’) in PT Arafura Surya Alam has been officially completed,” said a statement in the information disclosure, Thursday (12/2).
This process is a continuation of the previous announcement on 15 September 2025. Through letter number JRAP/SKLR/CSD/2025/IX/073 to the Financial Services Authority, the Company stated that on 11 February 2026, JRN and PT Danusa Tambang Nusantara had completed the Transaction Plan. Danusa Tambang is a subsidiary of PT United Tractors Tbk (UT).
The planned value of this transaction reaches USD 540 million or equivalent to IDR 8.85 trillion. PSAB confirms that, unless stated otherwise, all information previously submitted remains valid, and terms written in capital letters have the same meaning as stated in the Information Disclosure of 15 September 2025.
This value includes the sale price of shares, the value of shares for minority shareholders in ASA and PT Mulia Bumi Persada (a subsidiary of ASA), as well as the value of debt owed by JRN shareholders to ASA. The net value of the share sale will be adjusted to the position of certain ASA balance sheet items on the transaction completion date.
J Resources Nusantara, a subsidiary of PT J Resources Asia Pasifik Tbk (PSAB), released 99.99996% of its shares through a Conditional Sale and Purchase Agreement (PJBB) which was signed on Friday (12/9/2025).
With the completion of this transaction, United Tractors now officially controls J Resources’ gold mining operations, marking a strategic step in strengthening the company’s portfolio in the precious metals mining sector.
